Wholesale Terms & Conditions

The supply of Forage + Bloom Tea and other related goods and equipment (“Goods”) purchased, on credit or loaned by Forage and Bloom Limited (“F+B”) to the customer is subject to the following terms and conditions (“Terms”).

The Terms also include the Account Application Form (“Application”), which has been entered into by the trading entity (whether a company, trust, sole trader or otherwise) named in the Application (“Customer”).

Any breach of the Terms by the Customer may result in the immediate termination of the supply of Goods and return of any loaned equipment at the Customer’s cost (whether on credit or otherwise) without notice by F+B.

Invoices / Invoices will be sent to the Customer by email. The Customer must notify F+B immediately if any information within the Application changes or is about to change.

Minimum Purchase Levels / Minimum order values are $400+gst for opening orders and $150+gst for ongoing orders.

Terms of Payment / F+B will invoice the Customer on a per-order basis. Payment for opening orders are payable before dispatch. Ongoing orders will be strictly due in full by direct credit within 7 days of the Customer’s receipt of the invoice for Goods supplied.

Failure to pay all amounts owing and in full on the due date will result in 5% interest being applied to the invoice for each 7 day period the payment is overdue, and payment for all subsequent orders of Goods being required prior to delivery, until a satisfactory trading history is established.

Any overdue amounts owing to F+B may be passed on to an appropriate agency for collection. F+B reserves the right to charge the Customer fees, interest, commission or any other expenses involved in the settlement and/or recovery ofoverdue accounts.

Right to Alter / F+B reserves the right to alter the Terms of credit without notice to the Customer.

Reassignment of Terms / Credit Terms are agreed only with the Customer as named in the Agreement and are not transferrable if the Customer sells or transfers their business to another trading entity. The new trading entity must apply for continuation of supply of Forage + Bloom Tea and other related goods and equipment, whether purchased or on credit. The new trading entity is subject to the F+B Application process and subject to approval and must agree toF+B Terms. F+B reserves the right to decline a transfer of F+B Terms of Credit to any new trading entity regardless of the existing Customers trading history.

Risk in Goods and Retention of Ownership / Risk in any Goods supplied by F+B will pass to the Customer upon delivery to the Customer or to the Customer’s nominated delivery address. Ownership and title in the Goods is retained byF+B until the Customer has made payment in full for the Goods. If the Customer prior to making payment sells the Goods supplied, then the proceeds from the sale of the Goods are the property of F+B until payment is received in full.

Goods Returned for Credit / The returns policy is not applicable to consumable items (i.e. tea). Please order carefully as we do not accept returns due to over ordering. If a return is approved by F+B, this must be organised within 7 days of the Customer receiving the Goods. Unless pre approved by F+B all return freight costs are to be paid by the Customer and must be sent using a tracked signature required courier. Risk in any Goods returned by the Customer will pass to F+B upon signed delivery acceptance at the address nominated by F+B.

Use of Branding and Stock Display / F+B encourages the use of approved branding by its Customers and will support the inclusion of the F+B logo, branding and trademark badge on the Customer’s menus and website. High quality images will be supplied to the Customer upon request for this purpose only. Any branding requirements must be signed off via an authorised F+B representative and may be removed if used incorrectly or without F+B being notified. The Customer acknowledges that any unauthorised use of Forage and Bloom Limited’s logo, trademark badge, related font logos and imagery is expressly forbidden and is protected by copyright law.

The Customer agrees to display all F+B stock only in approved stock jars and packaging, in-store, online and in any other circumstance where F+B stock is displayed. F+B will request the removal of any images or physically damaged Goods that do not endorse the quality standards of the F+B brand.

Exclusivity / For hospitality accounts, F+B is to be the sole supplier for all teas served within the establishment, unless otherwise agreed by F+B.

Right of Access / In the event of liquidation or business closure the Customer agrees to notify F+B as soon as possible and give access to any person nominated by F+B to collect stock that has not been paid for in full.

Collection of Information / F+B is committed to keeping all Customer information up to date and confidential. The Customer has the right to access and update any information held by F+B.

The Customer authorises F+B to collect information about the Customer for the purpose of administering the relationship with F+B, credit approval, and establishing credit limits. The Customer authorises F+B to pass this information on to its employees or contractors for debt collection or credit reporting purposes and in the event that F+B assigns any of its rights to any other party, to the party receiving those rights.
